About the Board of Directors:
Arig Bank's Board of Directors /Board of Directors/ operates in alignment with the laws and regulations in force in Mongolia, including the Company Law, Banking Law, procedures and guidances approved by the Bank of Mongolia, Arig Bank's Charter, the Code of Corporate Governance, and the Board of Directors Operating Procedures. The Board carries out its responsibilities diligently and with a strong sense of accountability.
The Bank's Board of Directors (BoD) consists of total of 9 members, comprising representatives of the banks' shareholders and independent members. Neither the chairman nor the board members are engaged in the banks' executive management.
The structure, authorities, and responsibilities of the Board of Directors are regulated by the Operating Procedures of the Board of Directors. The chairman of the Board of Directors is responsible for scheduling board meetings in compliance with legal requirements. Additionally, the board maintains records of topics addressed during meetings and their corresponding resolutions. These records are subsequently submitted to both shareholders and the Bank of Mongolia within the timeframe stipulated by law.
The pertinent committees oversee significant transactions and conflict of interest deals in accordance with the rights and responsibilities outlined in the Company Law.
The board of directors is structured to provide ongoing supervision of the bank's activities, while the bank's shareholders retain the authority to nominate, appoint, and remove board members. (The appointment of an independent member shall be determined through a shareholders' meeting, subject to the endorsement of the Bank of Mongolia.)
BoD structure and organization:
The Board of Directors exercises its power through 5 standing committees, including Audit Committee, Risk Management Committee, Remuneration (Human resources and incentive) Committee, Governance and Nomination Committee, and Information Technology Committee. These committees operate within a framework of comprehensive regulations sanctioned by the Board of Directors.
Audit Committee
The committee performs the following functions and provides recommendations to both the Board of Directors and the Executive Management Team on associated matters:
• Overseeing the accuracy and completeness of the bank's financial statements in compliance with international financial reporting standards and other legal mandates;
• Safeguarding the autonomy of the internal audit, endorsing the budget, defining the scope and frequency of management audits, reviewing reports, and monitoring performance;
• •Selection, appointment, and dismissal of the internal auditor, as well as determining salary and bonuses;
• Appointment and change of the independent auditors for the bank, supervising activities, assessing performance, and presenting relevant suggestions to the board of directors; and
• Supervising the implementation of the Bank's robust Whistleblower hotline, monitoring substantial and conflict-of-interest transactions, and drawing conclusions.
Moreover, the audit committee bears the responsibility of closely monitoring the Executive Management's adherence to swift and lawful actions in rectifying vulnerabilities identified within the bank's internal control framework and ensuring the execution of subsequent recommendations as detailed in the Audit report.

Risk Management Committee
The committee undertakes the following functions and presents recommendations to the Board of Directors and the Executive Management Team regarding essential matters:
• Deliberating upon and endorsing risk appetite policy, risk limits, risk management strategy, credit policy, compliance policy, and governance code policy documents for submission to the board of directors, allocating responsibilities to the executive management, and overseeing their execution;
• Overseeing and guiding the adequacy of the bank's risk management framework and key risks, which include credit risk, market risk, liquidity risk, operational risk, legal risk, reputational risk, information technology risk, and other categories of risk management;
• Discussing and evaluating reports from the Risk Management Department conveyed by the executive management;
• Approving the Bank's anti-money laundering and counter-terrorism financing policy, overseeing its implementation, and reviewing quarterly activity reports;
• Responsible for the annual approval and oversight of the Contingency plan in the case of a financial crisis and for providing recommendations to the board of directors regarding any necessary adjustments.

Remuneration Committee
The committee fulfills the following functions and provides the Board with conclusions and recommendations on essential matters:
• Determining remuneration and bonuses for board members and supporting the effective and efficient execution of their supervisory and management responsibilities within the bank;
• Reviewing and deliberating on regulations and procedures associated with the implementation of the bank's human resources policy;
• Facilitating the achievement of the bank's business objectives and sustainable growth by means of the bank's remuneration policy, recruitment of proficient personnel and managers, and subsequently ensuring stable employment and development through a performance-based reward system;
• Reviewing the execution of the governance code and its integrated policies, offering suggestions and recommendations to the board of directors in developing and endorsing the remuneration and incentive system;
• Establishing remuneration and incentives for the CEO and executive management team; and
• Conducting performance evaluations of the CEO and executive management team.

Governance and nomination committee
The committee carries out the following functions and provides shareholders and the board of directors with conclusions and recommendations on critical matters:
• Setting requirements for board member and executive management candidates and specifying criteria for evaluating skills, knowledge, education, and professional experience;
• Overseeing the enforcement of the governance code and all integrated policies and offering evaluations and perspectives on the activities of board members and executive management personnel;
• Engaging in the selection, appointment, and withdrawal of board members;
• Providing suggestions and recommendations to the board of directors regarding the nomination, appointment, and removal of executive management team members; and
• Formulating the terms and conditions of the executive management agreement.

Information technology committee
The committee undertakes the subsequent functions and furnishes recommendations to both the Board of Directors and the Executive Management Team concerning essential matters:
• Discussing and approving the Bank’s Information Technology policy, strategy, and standard documents, assigning implementation responsibilities to the executive management, and overseeing their execution;
• Reviewing progress reports concerning activities in the information technology domain;
• Deliberating on and endorsing Information Technology policy documents, including information security policy, strategy, and standards, monitoring compliance with international norms, assigning responsibilities to the executive management, and overseeing their implementation;
• Evaluating reports outlining the endeavors undertaken in the domain of information security; and
• Overseeing the efficient implementation of digital transformation and leveraging technological advantages within the bank, participating in discussions regarding work reports, and providing guidance.

Board of Directors
Munkh-Erdene Purev
Mr. P. Munkh-Erdene took on the position of Chairman of the Board of Directors at "Arig Bank" LLC on June 16, 2023. He earned a Bachelor's degree in Bank Economics from the School of Economics at NUM between 1986 and 1990 and subsequently obtained a master's degree in the same field from the School of Economics at NUM in 2000. He initiated his professional career as an economist at Ulaanbaatar Bank in 1990 and subsequently accumulated valuable experience as he advanced into leadership roles within a range of banking and financial institutions, including Ardiin Bank, Reconstruction Bank, Mongol-Post Bank, and Savings Bank.
Sainbat Sanjaa
Mr. Sainbat earned a bachelor's degree in software engineering from the Computer Science and Management School of the MUST, graduating in the class of 1992-1997. His professional journey began in 1997 as an import manager at "Nomin Trading" LLC. Over time, he advanced through various roles, including serving as the executive director of the Nomin Electronics branch, heading the IT department at "Nomin Holding" LLC, and leading the Department of organizational cooperation and business development at "Nomin Holding" LLC. He amassed extensive experience as the Executive Director and Technology Business Director. Since 2021, he has held the position of a board member at Arig Bank.
Bayarsaikhan Shagdarsuren
Mr. Bayarsaikhan obtained his bachelor's degree in financial accounting from UFE in 1990. He commenced his professional journey in 1991 at "Nomin Five" individual enterprise and later founded "Nomin Holding" LLC. He held the position of President at "Nomin Holding" LLC from 1996 to 2021, subsequently taking on the role of Chairman of the Board of Directors starting in January 2021. Since 2021, he has been serving as a board member at Arig Bank.
Khosbayar Sengedorj
Mrs. Hosbayar obtained her bachelor's degree in Analyst Accountant and Economist from the School of Economics at NUM during the period 1992 to 1996.
In 1995, she commenced her professional journey as an accounting accountant at "Burged" LLC. From 1996 onwards, she progressively assumed diverse positions including accountant, senior accountant, and deputy accountant at "Raznomipex Consolidation" LLC. By 1999, she had advanced to the position of senior accountant at "Nomin Trade LLC."
Her journey within "Nomin Holding" LLC has been marked by a series of significant roles: she assumed the position of Head of the Financial Accounting Department in 2003 and later took on the roles of Director of the Business Development Department and Executive Director of "State Department Store" LLC starting from 2013. Furthermore, she has been serving as the Executive Director of Nomin Kids LLC since 2015. In 2017, she was appointed as a Sales Director of "Nomin Five Trade" LLC. As of 2021, she has taken on the role of Director of the Financial Management Department within "Nomin Holding" LLC.
S. Khosbayar is a distinguished member of the Mongolian Institute of Certified Public Accountants, boasting extensive expertise in risk management, analysis, and accounting across the banking and financial sector. She currently serves as a board member at Arig Bank since 2021.
Tuvshintamir Deleg
Mrs. Tuvshintamir graduated from Irkutsk State University of Russia in 1984-1990 with a degree in History and later pursued a Jurisprudence degree from the Law School of NUM between 1999-2002. She also holds a master's degree from the Law School of the National University of Moscow. With a robust background in the banking and financial sector, she has held positions such as loan specialist and director of NBFC and SCCs since 2003. She is the founder of "Anta Trade" LLC and has served as the general director of "Anta and Partners" LLC since 2012. Since 2021, she has been an independent board member of Arig Bank.
Ariunjargal Baldandorj
Mrs. Ariunjargal earned her bachelor's degree in Banking and Finance from the School of Finance and Economics in 1999 and later completed a Master of Business Administration in 2013. Her versatile career has encompassed roles as a credit economist, asset and liability management economist, Director of the SPD, and Chief Accountant, as well as Director of the Financial Management Department at Anod Bank. Notably, since 2003, she has held pivotal positions, including CEO of Nomin Kard NBFS, Nomin Union SCC, Nomin Insurance LLC, and Chief Financial Officer of Nomin Holding LLC. She also served as the acting director of Arig Bank, amassing extensive experience in the banking and finance sector. Since 2023, she has been a regular board member of Arig Bank.
Navaan Yansanjav
Mr. Navaan completed his bachelor's degree in Business Management from the School of Economics at NUM in 2006. He further pursued a Master's degree in Business Administration from the University of Wales, UK. His professional path commenced at 'Nomin Trading' LLC in 2005, and he has held the position of Executive Director at 'Nomin Holding' LLC since 2021. In 2023, he was appointed as a board member of Arig Bank.
Tserendavaa.N
Mr. Tserendavaa obtained his bachelor's degree in software engineering from the Computer Science and Management School of MUST, spanning 1996 to 2001. From 2011 to 2019, he held pivotal leadership positions at Golomt Bank, including IT Director, Deputy CEO, and Advisor to the CEO. Notably, he served as Chairman of the Professional Council and Vice President of the Mongolian Bank Association, amassing extensive expertise in the realms of banking, finance, and information technology. Mr. N. Tserendavaa was elected as an independent board member of Arig Bank in 2023.
Chimed-Yunden. D
Mr. Chimed-Yunden's educational journey is marked by remarkable accomplishments, including his graduation from the Institute of State Security of the Former Soviet Union in 1985. He further achieved a Master's degree from Seikei University in Japan in 1990 and obtained degrees in finance and economics from Plekhanov University of Economics in Ulaanbaatar in 2012.
His professional journey commenced in 1985 as an expert and department head at the State Intelligence Service. He subsequently assumed a series of influential roles, including positions as a referent, senior advisor, and deputy head in entities such as the Cabinet Secretariat, Office of the Parliament, State Intelligence Service, State Special Security Department, Embassy of Mongolia in Japan, and Bank of Mongolia. D. Chimed-Yunden holds the rank of Major General.
In 2015, he successfully defended his doctoral degree from the National Defense University with a thesis on "Effects of foreign investment on economic security and its risk analysis." In 2017, he was granted the academic title of Professor by the National Intelligence Academy, and in 2022, he received the distinguished title of State Honorable Lawyer. He was appointed as a board member of Arig Bank in 2023.
Natsagdorj. Ya
Natsagdorj graduated from University of Hannover, FRG in 2005 with a diploma in economics. In 2016, he earned a master's degree in business administration from the School of Business at the Ikh Zasag University of Mongolia. He further enhanced his academic achievements by obtaining a master's degree in economics from the National Academy of Governance in 2007. Beginning in 2020, he began pursuing doctoral studies in business at NUM.
Throughout his career, Ya. Natsagdorj has held significant roles at various banks, including Golomt Bank, TDB, Arig Bank, NBFSs, a project of the Sparkasse Bank of FRG, and the Credit Information Database. He has contributed to the financial sector with his expertise. On February 1, 2023, he was appointed as a secretary of the Board of Directors of "Arig Bank" LLC.
Temuujin Ganbat
Mr. Temujin is specialized in Finance and Accounting fields. He worked in Savings bank, State bank, Capital Bank, Micro Globus NBFI, and Altai Khuder LLC as an auditor and senior auditor of the Internal Audit Department. Mr. Temujin was appointed as a Director of the Internal Audit Department of Arig Bank in 2021.
